Terms of Use

Forward Counsel LLP ("Forward Counsel") provides this website (the "Site") subject to your compliance with the terms and conditions set forth in these Terms of Use (the "Site Terms").  The Site Terms, the Privacy Policy, and any other documents incorporated by reference herein together constitute a legal agreement (collectively, this "Agreement") between you and Forward Counsel with respect to your use of the Site and any related non-legal services. Capitalized terms used in this Agreement shall have the meanings ascribed to them herein.  By using the Site, you agree to be bound by these Site Terms and the other terms and conditions of this Agreement.  If you do not agree to these Site Terms and/or any other terms and conditions of this Agreement, you must not use the Site. 

Forward Counsel may at any time, in its sole discretion, revise or otherwise update these Site Terms, and/or any other terms and conditions of this Agreement, by posting revisions or updates and any such revisions or updates will be effective immediately upon posting.  Your use of the Site following the posting of revised or updated Site Terms and/or any other terms and conditions of this Agreement constitutes acceptance of such revisions and updates.  Further, Forward Counsel reserves the right, at any time, to modify or discontinue, temporarily or permanently, the Site (or any part thereof) without notice, as set forth below.

By using the Site, you represent and warrant that you have read and understood, and agree to be bound by, this Agreement, including the Site Terms and Privacy Policy. By using the Site, you further represent and warrant that you are 18 years old or older and that you are otherwise legally qualified to enter into contracts under applicable law.  IF YOU DO NOT UNDERSTAND OR DO NOT AGREE TO BE BOUND BY THIS AGREEMENT OR THE PRIVACY POLICY, OR ARE NOT LEGALLY QUALIFIED TO ENTER INTO CONTRACTS, YOU MUST IMMEDIATELY LEAVE THE WEBSITE.

No Attorney-Client Relationship

No attorney-client relationship is created through your use of the Site or your receipt of the Materials.  YOUR USE OF THE SITE DOES NOT CREATE AN ATTORNEY-CLIENT RELATIONSHIP BETWEEN YOU AND FORWARD COUNSEL OR ITS ATTORNEYS.  SIMILARLY, THE TRANSMISSION OF INFORMATION TO AND FROM FORWARD COUNSEL OR ITS ATTORNEYS BY MEANS OF THE SITE IS NOT AN ATTORNEY-CLIENT COMMUNICATION. Forward Counsel has established procedures in place for accepting representation of a new client and establishing an attorney-client relationship, which include obtaining a signed copyof an engagement letter and clearing conflicts in accordance with the rules of professional ethics in each jurisdiction in which it operates.  Forward Counsel accepts clients only in accordance with, and renders legal advice only after completion of, these established procedures.  Therefore, if you submit an unsolicited email or other communication or information to Forward Counsel or any of its attorneys via this Site and/or prior to completion of Forward Counsel’s established procedures, you acknowledge and agree that no attorney-client relationship is created.  Because no attorney-client relationship is created in these instances, any such communications are not considered confidential and may be disclosed to third parties in the manner described in our Privacy Policy.

All content, text, images, graphics, data, information, and other material displayed, as well as the original selection, arrangement, and presentation of such material displayed, available or present on this Site (collectively, “Content”), including any intellectual property rights in such Content (including without limitation trademarks and copyrights), (collectively, “Intellectual Property Rights”), are the property of Forward Counsel, its affiliates, its licensors, and/or the designated owners and are protected by applicable intellectual property laws.  You should assume that everything you see or read on this Site is the property of Forward Counsel its affiliates, its licensors, and/or the designated owners and is protected by copyright, trademark, and other proprietary rights and laws unless otherwise noted and may not be used without our written permission, except as otherwise provided in these Site Terms.  The trade names, trademarks, service marks, and domain names (collectively, "Marks") of Forward Counsel include, without limitation, Forward Counsel, www.ForwardCounsel.com, and any associated logos. Nothing on the Site should be construed as granting, by implication, estoppel, or otherwise, any right or license to use any of the Marks without Forward Counsel's prior express written permission.

Authorized and Prohibited Uses

You may access, use and display this Site on a single computer only and download and print copies of the Content only for noncommercial, informational, personal use, without modification or alteration in any way, and only so long as you comply with these Site Terms, the other terms and conditions of this Agreement, and applicable laws, rules, and regulations.  Except as may otherwise be expressly authorized by these Site Terms, you may not otherwise reproduce, sell, publish, distribute, transmit, modify, display, use, or perform, or create any derivative works of, any of this Site or the Content or Materials without our prior written permission.

If this Site permits the emailing of certain Content or a link through the use of an “email to a friend” (or similar) icon, you may send that particular Content or link to others by email, as indicated.  You agree not to infringe upon any Intellectual Property Rights or remove or modify related proprietary notices contained in this Site, the Materials, or the Content.

User Content

Except as provided in our Site’s Privacy Policy, which is expressly incorporated by reference herein, any Content that you submit (“User Content”) to this Site or to Forward Counsel or its attorneys via this Site will be deemed to be non-confidential and may be disclosed through this Site to unknown persons on a worldwide basis without control by Forward Counsel, including for browsing, downloading, printing and other uses by such other persons or entities.  You agree not to submit User Content to this Site or to Forward Counsel or its attorneys except for User Content that is fully authorized for purposes of this Site and these Site Terms, and you will not infringe upon any person’s Intellectual Property Rights in connection with such submissions.  It is your obligation to determine the extent to which User Content you submit is protected by applicable intellectual property laws.  You agree that Forward Counsel shall have, and hereby grant to Forward Counsel, a worldwide, royalty-free, perpetual, irrevocable, sub-licensable, non-exclusive right and license to translate, reproduce, sell, publish, distribute, modify, adapt, display, perform, promote, link to, or use, in any form or medium, any User Content that you submit to this Site or to Forward Counsel or its attorneys through the Site.  Forward Counsel does not endorse any User Content or third-party product or service that may appear on this Site. Nothing in these Site Terms shall obligate us to use any User Content you submit or permit the posting of such Content on this Site.

Registration and Passwords

At times, we may or may not require you to have a password and provide registration details to access this Site or portions of this Site. If we do require a password and registration details, the details you provide must be correct, current, and complete.  If we believe that the details are not correct, current, and complete, we have the right to refuse you access to the Site, or any of its resources, and to terminate or suspend your account, if any.  You are responsible for maintaining the confidentiality of any password(s) you are given to access this Site or any portion hereof, and you are fully responsible for all activities that occur under your password(s).  You agree to notify us immediately of any unauthorized use of your password(s). We reserve the absolute right not to issue a password to any person or entity.

User Conduct

You agree to comply with all applicable laws, rules, and regulations in connection with your use of the Site.  You will not violate, attempt to violate, or knowingly facilitate the violation of the security (including access control or authentication systems) or integrity of the Site.  Without limiting the foregoing, you agree not to (a) attempt or to enable others to attempt to gain unauthorized access to any other accounts, computer systems or networks connected to any Forward Counsel server or to any of the Materials or Content, through hacking, password theft or any other means; (b) attempt or enable other to attempt to obtain any Materials or Content through any means that Forward Counsel has not intentionally made available on the Site; or (c) use the Site, Content, or Materials in any manner that could damage, disable, overburden, or impair any Forward Counsel server, or the network(s) connected to any Forward Counsel server, or that might interfere with any other person's access to or use or enjoyment of any Materials or Content.

Digital Millennium Copyright Act 

Forward Counsel respects the intellectual property of others and complies fully with the procedures laid down by the Digital Millennium Copyright Act ("DMCA") for identifying and removing copyrighted material.

Notification of Copyright Infringement

If you believe that your work has been copied in a way that constitutes copyright infringement, please send our designated Copyright Agent a notification of claimed infringement (“Notification of Claimed Infringement”) with the following information required by the Section 512 of the DMCA:

(a) A physical or electronic signature of a person authorizedto act on behalf of the owner of an exclusive right that is allegedly infringed;

(b) Identification of the copyrighted work claimed to have been infringed or, if multiple copyrighted works are covered by a single notification, a representative list of such works;

(c) Identification of the Content that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and the information reasonably sufficient to permit us to locate the Content;

(d) Information reasonably sufficient to permit us to contact the complaining party;

(e) A statement that the complaining party has a good faith belief that the use of the Content in the manner complained of is not authorized by the copyright owner, its agent or the law;

(f) A statement that the information in the notification is accurate and, under penalty of perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Your written Notification of Copyright Infringement must be sent to our designated Copyright Agent at the address listed above. Forward Counsel will review and address all notices that substantially comply with the requirements identified above. If your notice fails to substantially comply with all of these requirements, however, Forward Counsel may not be able respond to your notice.

Any person who knowingly materially misrepresents that material or an activity is infringing or that any material or activity was removed or disabled by mistake or misidentification shall be liable to us for any damages, including costs and attorney's fees incurred by us in removing or disabling access to the material or activity claimed to be infringing or in replacing the removed material or enabling access to it.

Counter Notification of Copyright Infringement

If you believe material was removed in error, you may send a counter notification (“Counter Notification”) to our designated Copyright Agent at the address provided above.

To file a Counter Notification with us, you must send us correspondence that sets forth the items specified below:

  • Identify the specific message ID(s) of material that we have removed or to which we have disabled access;

  • Provide your full name, address, telephone number, and e-mail address;

  • Provide a statement that you consent to the jurisdiction of Federal District Court for the judicial district in which your address is located or (insert locale of reseller if your address is outside of the United States), and that you will accept service of process from the person who the provided notification of claimed infringement to which your notice relates or an agent of such person;

  • Include the following statement: "I swear, under penalty of perjury, that I have a good faith belief that the material was removed or disabled as a result of a mistake or misidentification of the material to be removed or disabled"; and

  • Sign the notice. If you are providing notice by e-mail, an electronic signature (i.e. your typed name) or scanned physical signature will be accepted.

If we receive a Counter Notification from you, we may forward it to the party who submitted the original Notification of Claimed Infringement. The Counter Notification we forward may include some of your personal information, such as your name and contact information. By submitting a Counter Notification, you consent to having your information revealed in this way. We will not forward the Counter Notification to any party other than the original claimant unless required or expressly permitted to do so by law.

After we send out the Counter Notification, the original claimant must respond to us within 10 business days stating that such claimant has filed an action seeking a court order to restrain you from engaging in infringing activity relating to the material on our web site.

We suggest that you consult your legal advisor before filing a Counter Notification of Copyright Infringement. Please note that you may be liable for damages if you make a false claim. Under Section 512(f) of the DMCA, any person who knowingly materially misrepresents that material was removed or disabled by mistake or misidentification may be subject to liability.

Please note that we may not be able to contact you if we receive a Notification of Copyright Infringement about material you posted online. In accordance with our Site Terms, we reserve the right to permanently remove any content posted on our web sites at any time at our sole discretion.

Repeat Infringer Policy

It is our policy, in what we deem in our sole discretion to be appropriate under the circumstances, to disable and/or terminate the accounts of users, subscribers, or account holders who repeatedly infringe on the copyrights or other intellectual property rights of others.

Limitations on Liability and Remedies

Indemnification

You agree to defend, indemnify and hold harmless Forward Counsel, its affiliates, and its suppliers or vendors, and each of their respective shareholders, partners, officers, directors, employees, representatives, agents, and contractors from and against all demands, claims, damages, liabilities, losses, costs, expenses, or losses, including without limitation attorneys’ fees and costs, arising in connection with your use of this Site, online conduct, improper or unauthorized use of the Materials or Content, breach of these Site Terms, infringement of any Intellectual Property Rights or other proprietary rights, or dealings or transactions with other persons resulting from your use of this Site.

Dispute Resolution; Applicable Law and Forum

With respect to any and all disputes arising form or in connection with this Site or this Agreement (including without limitation, the Site Terms and Privacy Policy), Forward Counsel and you agree to negotiate in good faith and undertake reasonable efforts to cooperate with one another to achieve a mutually satisfactory resolution.

This Agreement, including these Site Terms, shall be governed by the laws of the State of California as applied to agreements made, entered into, and performed entirely in California by California residents, notwithstanding your actual place of residence.  All lawsuits arising from or relating to this Agreement, including the Site Terms, or your use of the Site, the Content, or the Materials shall be brought exclusively in the federal or state courts located in Orange County, California, and you hereby unconditionally and irrevocably submit to the exclusive personal jurisdiction of such courts for such purpose.  To the fullest extent permitted by applicable law, any claim or cause of action arising out of or related to your use of the Site or these Site Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.  The failure of Forward Counsel to exercise or enforce any right or provision of these Site Terms shall not constitute a waiver of such right or provision. 

Privacy Policy

Forward Counsel is concerned about privacy and has developed a Privacy Policy to address privacy concerns.  Click here to read the current Privacy Policy. The Privacy Policy is hereby incorporated into these Site Terms by reference and constitutes a part of these Site Terms and this Agreement.

Forward Counsel does not collect personal information through the Site.  Nevertheless, Forward Counsel may collect non-personally identifiable information about you in connection with your use of the Site, such as your Internet Protocol (IP) address, your browser software, the duration of your visit to the Site, and the domain of the site from which you arrived at the Site.  In addition, Forward Counsel may use cookies and tracking technologies to allow Forward Counsel to track the actions of users of the Site.  Forward Counsel may also aggregate such information about you with similar data collected from other users of the Site. Forward Counsel uses such information to help diagnose server problems, administer the Site, gather broad demographic information and generate user statistics.  Forward Counsel does not use such data to create or maintain a personal profile about you.

Miscellaneous

The headings or subheading titles or captions in these Site Terms and this Agreement are for convenience only and have no legal or contractual effect.  Neither the course of conduct between you and Forward Counsel, nor trade practice, shall act to modify any provision of this Agreement, including these Site Terms.  This Agreement is not assignable, transferable, or sublicensable by you. This Agreement, including the Site Terms and the Privacy Policy, comprise the entire and exclusive agreement between you and Forward Counsel with respect to your use of the Site, the Content, and the Materials, superseding any prior agreements or negotiations between you and Forward Counsel with respect to your use of the Site, the Content, and the Materials.

Without limiting the generality of the foregoing, the information contained on a blog on our Site and in any related communications, blogs, or social media posts is provided for informational purposes only and is not intended to and does not constitute legal advice or a solicitation for the formation of an attorney-client relationship. The views expressed on the blog are those of the author individually and do not necessarily represent the views of Forward Counsel or any other person or entity.

Authority of Website Administrator

Good Samaritan Policy

It is Forward Counsel’s policy not to tolerate any acts of intellectual property infringement or violations of federal or state law.  We will, in good faith, make our best efforts to remove, disable or restrict access to the availability of Content or Materials on the Site that, in our subjective view, are obscene, lewd, lascivious, filthy, excessively violent, harassing or otherwise objectionable, whether or not such Content or Materials are constitutionally protected.  This provision does not impose upon Forward Counsel any contractual obligation to undertake, or refrain from undertaking, any particular course of conduct, or to monitor the Site.

If you believe that someone has violated this policy, we ask you to promptly notify us by email at info@ForwardCounsel.com.  You must use this address if you want to ensure that the complaint is actually received by the appropriate party who is responsible for investigating alleged violations of this policy.

Import/Export Control

You agree not to submit any User Content to this Site or commit any act involving the transfer of information in violation of applicable import/export control, espionage or national security laws.

Your Obligations

Compliance

You agree to comply with all applicable laws, rules, and regulations in connection with your use of this Site.

Unsuitable Content and Conduct

You will not engage in conduct or submit to this Site any User Content or other material that is illegal, inaccurate, misleading, misappropriated, infringing, dilutive, defamatory, obscene, offensive, or otherwise objectionable.  You will not cause damage, embarrassment, or adverse publicity to Forward Counsel or its attorneys.

Functional Compatibility and System Abuse

If any portion of the Site accepts the submission of User Content, you will submit only User Content and material that is functionally and technically compatible with this Site.  You will not attempt to and will not damage, corrupt, tamper with or infect this Site, the Content, the Materials or any information or telecommunication system of Forward Counsel with a virus or other malicious computer program.  You will only use this Site for the permitted purposes stated in these Site Terms and will not engage in abusive activity with respect to this Site.  Without limiting the generality of the foregoing, you agree not to send, create or reply to so-called “mailbombs” (i.e., emailing copies of a single message to many users, or sending large or multiple files or messages to a single user with malicious intent); engage in “spamming” (i.e., unsolicited emailing for business or other purposes); or undertake any other activity that may adversely affect the use or enjoyment of this Site by any person.  You are prohibited from using any services or facilities provided in connection with this Site to compromise security or tamper with system resources and/or accounts.  The use or distribution of tools designed for compromising security (e.g., password-guessing programs, cracking tools, or network-probing tools) is strictly prohibited.  If you become involved in any violation of system security, Forward Counsel reserves the right to release your details to system administrators at other sites and law enforcement authorities to assist them in resolving security incidents.

Your Cooperation and Notification
